These Terms of Service (“Terms”) govern access to and use of Manifest, the planning and optimization platform operated by Tagup, Inc. (“Tagup,” “we,” or “us”). By signing in, creating an account, or otherwise using Manifest, you agree to these Terms on your own behalf and on behalf of the organization you represent. If your organization has a separate written agreement with Tagup (including a government contract, task order, or enterprise subscription agreement), that agreement controls where it conflicts with these Terms.
Manifest provides maintenance and operations planning tools, including scenario modeling, forecasting, and optimization powered by statistical and machine-learning methods. Model outputs are decision-support estimates, not guarantees of real-world outcomes. You remain responsible for operational decisions made using the service.
Your organization retains all rights to the data it submits to Manifest (“Customer Data”). You grant Tagup a limited license to host and process Customer Data solely to provide and support the service. Handling of personal information is described in our Privacy Policy.
Each party will protect the other’s confidential information with at least reasonable care and use it only as needed to perform under these Terms. Tagup maintains administrative, technical, and physical safeguards designed to protect Customer Data.
Tagup owns the service, including its software, models, interfaces, and documentation. Feedback you provide may be used to improve the service without obligation. No rights are granted except as expressly stated in these Terms.
Manifest relies on third-party providers (for example, cloud hosting, authentication, and model inference). Their availability may affect the service. Where the service links to third-party content or data sources, Tagup is not responsible for their accuracy.
The service is provided “as is” and “as available.” To the maximum extent permitted by law, Tagup disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Forecasts, optimizations, and other model outputs are probabilistic estimates and may be inaccurate.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and Tagup’s total liability arising out of the service is limited to the amounts paid or payable for the service in the twelve months preceding the claim. These limits do not apply where prohibited by applicable law or by the terms of a controlling government contract.
You may stop using the service at any time. We may suspend or terminate access for material breach of these Terms, for security reasons, or as required by law or contract. Upon termination, your organization may request export of its Customer Data as provided in the applicable agreement.
We may update these Terms from time to time. Material changes will be indicated by the “Last updated” date above, and continued use of the service after changes take effect constitutes acceptance.
Except where a controlling government contract specifies otherwise, these Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules.
